India's capital markets regulator, Sebi, has issued a final 94-page order penalizing EKI Energy Services and several of its current and former executives for violating securities market rules. The enforcement action stems from premature revenue recognition and overstatement of expenses that misrepresented the company's financial performance to the public.

According to Sebi's findings, EKI Energy prematurely recognized revenue totaling Rs 197.04 crore across the first three quarters of FY23. The regulator concluded that publishing and continuing to disclose these misstated figures amounted to reckless financial misrepresentation tied to investor choices regarding the firm's listed shares. Additionally, the company overstated expenses by Rs 26.34 crore over FY22 and FY23, which understated its profits. Sebi highlighted that EKI recorded fictitious expenses for services that were never rendered, resulting in a Rs 26.34 crore diversion of company funds.

The regulatory body has barred several key individuals from the securities market for varying durations. Dabkara has been restricted from the market and directed to immediately regain the funds diverted from the firm. Former Chief Financial Officer Mohit Kumar Agarwal faces an eight-month market ban, while whole-time directors Naveen Sharma and Sonali Sheikh have been prohibited from the market for five months and one month, respectively.

Sebi levied Rs 88 lakh in total financial penalties across the entities involved. Individually, EKI Energy Services was fined Rs 12 lakh, Dabkara was penalized Rs 28 lakh, Agarwal faces a Rs 19 lakh fine, Sharma was fined Rs 13 lakh, and Sheikh was ordered to pay Rs 6 lakh. Further penalties were imposed on independent directors Ritesh Gupta and Burhanuddin Ali Husain Maksi Wala, who were fined Rs 4 lakh each, while former compliance officer Itisha Sahu was fined Rs 2 lakh. All penalized parties must settle their fines within 45 days.

For financial market participants, strict regulatory enforcement against misstated earnings underscores the necessity of scrutinizing corporate reporting standards and internal controls to gauge asset integrity.
