Protective Life Acquires Fronting Carrier Obsidian Insurance

Protective Life Corporation has expanded into the excess and surplus lines sector by finalizing its purchase of Obsidian Insurance Holdings from funds managed by Genstar Capital. First revealed in April, the transaction introduces a fifth business unit to the Birmingham, Alabama-based insurer. Financial details of the acquisition were not made public.

The purchase represents an unusual move in the industry, as life insurance companies rarely acquire property and casualty operations due to their distinct market cycles and risk profiles. Protective, which is the American arm of Japan-based Daiichi Life Group, highlighted that these differing earnings drivers contributed to the strategic appeal of the deal. This transaction marks Protective's 62nd overall acquisition and its ninth since becoming part of Daiichi Life in 2015.

Obsidian was established in 2020 by private equity firm Genstar along with Chief Executive William Jewett and President and Chief Operating Officer Craig Rappaport. Operating as a hybrid fronting carrier, it assists specialty programs managed by MGAs, MGUs, and program managers by supplying infrastructure, operational oversight, and reinsurance access. The company transfers the majority of its written risk to reinsurers and has built its annual gross written premium past $1 billion.

Under the new structure, Jewett and Rappaport will remain at the helm of Obsidian, while Lance Black, Protective's executive vice president of acquisitions and corporate development, will provide corporate oversight. Following the initial transaction announcement, rating agency AM Best placed Obsidian's A- (Excellent) financial strength rating under review with positive implications.

The acquisition reflects ongoing capital movement into the fronting space, which serves as a key source of capacity for the MGA market. However, fronting carriers remain exposed to reinsurers' ongoing risk appetite, particularly as casualty lines encounter rising loss costs. Program managers and brokers will be watching to see if Protective's larger balance sheet delivers durable, long-term backing across changing market cycles.

Why it matters

This rare cross-sector acquisition brings a major life insurer's balance sheet into the fast-growing hybrid fronting and specialty P&C market.
